Soonos is operated by assetswapai inc., a Delaware corporation with registered office at 8 The Green, STE B, Dover, DE 19901, United States ("Soonos", "we", "us", "our"). These Terms govern your use of the Soonos website, dashboard, mobile experience, and all related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms.
The Service is provided by assetswapai inc., trading as Soonos. References to "we", "us", "our" or "Soonos" mean assetswapai inc. You must be old enough to form a binding contract in your country (and at least 16) to use the Service. If you use the Service on behalf of an organization, you confirm you are authorized to bind it.
Soonos analyzes DJ mixes and tracks to produce scoring, feedback, coaching, and ranking features. We may add, change or remove functionality at any time. Outputs are generated by software and AI models and may contain inaccuracies — they are intended as creative feedback, not professional advice.
You agree not to misuse the Service. In particular you must not:
You are responsible for activity that happens under your account and for keeping your credentials secure.
The Service, including software, models, design, scoring system, branding and documentation, is owned by assetswapai inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in line with these Terms and your subscription plan. You retain ownership of audio and content you upload; you grant us a limited licence to host, process, and analyze it solely to provide the Service.
Soonos offers a free tier and paid plans (Starter, Pro) plus one-time Credit Packs. Prices and current features are shown on our pricing page and may change for future billing periods (we will give notice for active subscriptions).
Payments are processed securely by Stripe. By purchasing, you also agree to Stripe's terms governing payment processing. assetswapai inc. is the seller of record and issues invoices for your purchases. Applicable sales tax / VAT is added at checkout where required by law.
Subscriptions renew automatically at the end of each billing cycle (monthly or yearly) until you cancel. Cancellations take effect at the end of the current period — you keep access to your paid features until then. Upgrades and downgrades take effect immediately, with proration applied to your next invoice and credit allowance adjusted to the new tier. Cancellations and payment-method updates are managed from your account settings.

We work hard to keep the Service running smoothly but we don't guarantee that it will be uninterrupted, error-free, or available at all times. Maintenance, third-party outages or factors outside our reasonable control may temporarily affect availability.
We may suspend or terminate your access if you breach these Terms, fail to pay, create a security or fraud risk, or repeatedly violate our policies. You can stop using the Service at any time and cancel via the customer portal. On termination, your right to use the Service ends; we may delete your data after a reasonable retention period.
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement). Our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity. Nothing in these Terms excludes liability that cannot be excluded by applicable law (such as fraud, death, or personal injury caused by negligence).
Soonos uses AI to generate scoring, comments and coaching. Outputs may be inaccurate or incomplete and should not be relied on as professional advice. You are responsible for the content you submit (including the rights to it) and for how you use the outputs. We may remove content that is illegal, infringing, hateful, sexually explicit, or otherwise violates these Terms, and we may suspend accounts that repeatedly infringe third-party rights. Soonos offers features that rely on services provided by Meta Platforms, Inc. and Meta Platforms Ireland Ltd. ("Meta"), including Facebook Login, the Meta Pixel and Conversions API, and the Meta Ads / Marketing API. When you use these features, you are also bound by Meta's terms in addition to these Terms. In particular, you agree to comply with:
You confirm that you have the right to grant Soonos the Facebook / Meta permissions you authorize, that you are an authorized representative for any Meta Business or Ad Account you connect, and that any content you submit through a Meta-connected feature does not infringe third-party rights or violate Meta's policies. You must not use the Service to circumvent Meta's rate limits, scrape Meta surfaces, run political or social-issue ads without proper authorization where required, or process Meta data for purposes Meta does not allow (for example, building independent profiles, credit decisions, employment decisions, or selling Meta data to third parties).
Soonos may suspend or remove Meta-connected features at any time, including to comply with a request from Meta or to remediate a policy or security issue. You can revoke Soonos' access to your Facebook or Meta Ads account at any time from your Facebook settings (Apps and Websites) or your Meta Accounts Center. Our handling of personal data collected through Meta integrations is described in section 10 of our Privacy Policy, including how to request deletion of data obtained via Facebook Login.
We may update these Terms from time to time. Material changes will be communicated via the Service or email. Continued use after changes take effect means you accept the updated Terms.
These Terms are governed by the laws applicable at the registered address of assetswapai inc. Disputes will be brought before the competent courts of that jurisdiction, without prejudice to mandatory consumer protection rules in your country of residence.
